Item 2.02 - Results of Operations and Financial Condition

On July 21, 2016, S&T Bancorp, Inc. announced by press release its earnings for the three and six months ended June 30, 2016. A copy of the press release is attached hereto as Exhibit 99.1. Item 8.01 – Other Events

The Board of Directors of S&T Bancorp, Inc. declared a $0.19 per share cash dividend at its regular meeting held July 18, 2016. The dividend is payable August 18, 2016 to shareholders of record on August 4, 2016. This dividend compares to a common stock dividend of $0.19 per share for the prior quarter.
