On May 23, 2012 MainSource Financial Group, Inc. (the “Company”) issued a press release announcing that Rick Hartman passed away on May 20, 2012 at the age of 56. Mr. Hartman had been a member of the board of directors of the Company since 2000 and had served as Chair of the Audit Committee for much of that time. The full text of the press release is furnished as Exhibit 99.1 and is incorporated herein by reference.
