RAYMOND JAMES GRANTED EARLY TERMINATION
OF HSR ANTITRUST IMPROVEMENTS ACT WAITING PERIOD
ST. PETERSBURG, Fla. – The Antitrust Division of the United States Department of Justice has granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act ("HSR Act") in connection with the proposed acquisition of Morgan Keegan & Company, Inc. and MK Holding, Inc. by Raymond James Financial, Inc. Accordingly, the condition to the proposed acquisition relating to the expiration or termination of the HSR Act waiting period has been satisfied.
As previously announced, on January 11, 2012, Raymond James entered into a definitive stock purchase agreement to acquire Morgan Keegan & Company, Inc. and MK Holding, Inc., from Regions Financial Corporation. The acquisition is anticipated to close on or about April 2, 2012, subject to customary closing conditions and other regulatory approvals.
