Item 7.01 Regulation FD Disclosure
On August 25, 2021, the Company issued a press release (“Release”) announcing that the Board of Directors had declared a quarterly cash dividend of $0.26 per share for each outstanding share of common stock of the Company, to be effected following the stock split described below. The cash dividend is payable on October 15, 2021 to shareholders of record on October 1, 2021. The amount of the dividend is economically equivalent to the pre-split dividend of $0.39 per share paid in the preceding quarter.

The Release further announced that the Board of Directors had approved a 3-for-2 common stock split, to be effected in the form of a 50% stock dividend, payable September 21, 2021 to shareholders of record on September 9, 2021.
