CERTIFICATE
Reference is made to the Amended and Restated Public Medium-Term Note Administrative Procedures for Fixed and Floating Rate Notes, dated as of December 11, 2003 (the "Procedures"), in the form attached hereto. Such Procedures have been approved and agreed to by the undersigned pursuant to the Distribution Agreement, dated December 11, 2003 (the "Distribution Agreement"), among Québec and the Agents (as such term is defined in the Distribution Agreement).

PUBLIC MEDIUM-TERM NOTE ADMINISTRATIVE
PROCEDURES FOR FIXED AND FLOATING RATE NOTES
(Dated December 11, 2003)
Medium-Term Notes, Series A (the "Notes"), in the aggregate initial offering price of up to U.S.$3,000,000,000 (or the equivalent thereof in other currencies) at any one time outstanding are to be offered on a continuing basis by Québec both directly to customers and through Merrill Lynch, Pierce, Fenner & Smith Incorporated, Credit Suisse First Boston LLC, Citigroup Global Markets Inc. and J.P. Morgan Securities Inc. who, as agents (each being individually an "Agent" and sometimes collectively referred to herein as the "Agents"), have agreed to use their reasonable efforts to solicit offers to purchase the Notes from Québec. The foregoing limit may be increased by Québec if in the future it determines that it may wish to sell additional Notes. Each Agent may also purchase Notes as principal for resale. Québec may also accept (but not solicit) offers to purchase Notes through additional dealers on substantially the same terms and conditions as would apply to purchases of the Notes to or through the Agents.
The Notes are being sold pursuant to an Amended and Restated Distribution Agreement among Québec and the Agents, dated December 11, 2003 (the "Distribution Agreement"). The Notes have been registered with the Securities and Exchange Commission (the "Commission") pursuant to Registration Statements Nos. 333-12082 and 333-13626 (collectively referred to as the "Registration Statement", which term shall include any additional registration statement as provided in the introductory paragraphs of the Distribution Agreement). The most recent prospectus included in the Registration Statement (the "Prospectus"), as supplemented with respect to the Notes, is herein referred to as the "Prospectus Supplement". The most recent supplement to the Prospectus with respect to the specific terms of one or more Notes is herein referred to as the "Pricing Supplement".
The Notes will rank equally among themselves and with the other debt securities issued by Québec and outstanding on the date hereof or issued hereafter. Citibank N.A. is the fiscal agent (the "Fiscal Agent", which term shall, unless the context otherwise requires, include its successors and assigns) under the fiscal agency agreement, dated as of May 30, 2002, as may be amended or supplemented from time to time, relating to the Notes (the "Fiscal Agency Agreement"). The Fiscal Agent will be the paying agent for the payment of the principal of and premium, if any, or interest on the Notes. Unless otherwise specified in the applicable Pricing Supplement, Citibank N.A. is the calculation agent.
The Notes will be issued in book-entry form ("Book-Entry Notes") and represented by one or more fully registered global notes (each, a "Global Note") registered in the name of The Depository Trust Company ("DTC") or its nominee and recorded in the book-entry system maintained by DTC. Owners of beneficial interests in Global Notes will be entitled to physical delivery of Notes issued in certificated form ("Certificated Notes") equal in principal amount to their respective beneficial interests only in certain limited circumstances described in the Prospectus Supplement.
Notes will be issued in accordance with the administrative procedures set forth herein, as they may be subsequently amended as a result of changes in DTC's operating procedures. Capitalized terms used herein that are not otherwise defined shall have the meanings ascribed thereto in the Fiscal Agency Agreement, the Prospectus Supplement or the Notes, as the case may be.
PROCEDURES FOR NOTES IN BOOK-ENTRY FORM
In connection with the qualification of Notes issued in book-entry form for eligibility in the book-entry system maintained by DTC, the Fiscal Agent will perform the custodial, document control and administrative functions described below, in accordance with its respective obligations under a Letter of Representations from Québec and the Fiscal Agent to DTC, dated August 20, 1999 (the "Letter"), and a Medium-Term Note Certificate Agreement, dated October 19, 1989, between the Fiscal Agent and DTC (the "Certificate Agreement"), and its obligations as a participant in DTC.

Date of Issuance/Authentication: | | Each Note will be dated and issued as of the date of its authentication by the Fiscal Agent and will bear a date of issue (the "Issue Date"). The Issue Date shall remain the same for all Notes subsequently issued upon transfer, exchange or substitution of an original Note regardless of their dates of authentication. |
Stated Maturity: | | Each Note will mature on a date selected by the purchaser and agreed to by Québec which, unless otherwise specified in the applicable Pricing Supplement, is nine months or more from its Issue Date unless the principal of the Note becomes due and payable prior to such date. |
Currency: | | Each Note shall be denominated in U.S. dollars or in other currencies, as specified in the relevant Pricing Supplement. Such other currencies include Canadian dollars, euros or any other currency. Notes denominated in any currency other than U.S. dollars (a "Foreign Currency") are herein referred to as "Foreign Currency Notes". |

Registration: | | The Notes will be fully registered. |
Interest: | | Unless otherwise specified in the applicable Pricing Supplement, each Note, other than a zero-coupon Note, will bear interest from, and including, its Issue Date or from, and including, the next preceding Interest Payment Date in respect of which interest on such Note has been paid or duly provided for at the fixed rate per annum or at the rate or rates per annum determined pursuant to the interest rate basis or formula stated therein and in the applicable Pricing Supplement until the principal thereof is paid or duly provided for. Interest payments in respect of Fixed Rate Notes will be made either semiannually, on each May 15 and November 15, or annually, on each May 15, and on any Maturity Date (as defined in the Prospectus Supplement) or on any other dates, as specified in the applicable Pricing Supplement. However, the initial interest payment on any Note issued between a Record Date (as defined below) and an Interest Payment Date to which such Record Date pertains will be made on the Interest Payment Date following the next succeeding Record Date to the Holder on such next succeeding Record Date. Unless otherwise specified in the applicable Pricing Supplement, the Record Date with respect to any Interest Payment Date shall be the date 15 calendar days prior to the applicable Interest Payment Date, whether or not such date is a Business Day (as defined below). |

The redemption price will be set forth in the applicable Pricing Supplement and in the applicable Note. |

Preparation of Pricing Supplement: | | If any offer to purchase a Note is accepted by Québec, Québec, with the approval of the Agent which presented such offer (the "Presenting Agent"), will prepare a Pricing Supplement reflecting the terms of such Note. | | Québec shall supply the Presenting Agent prior to the Settlement Date (as defined below in "Settlement") with an adequate supply of Prospectuses, Prospectus Supplements and Pricing Supplements at the address specified by the Presenting Agent. The Presenting Agent will cause the Prospectus, the Pricing Supplement and the Prospectus Supplement to be delivered to the purchaser of the Note or such purchaser's agent. |
| | The Agents will affix the Pricing Supplement to the Prospectus Supplement prior to their use. Outdated Pricing Supplements, and the Prospectus Supplement to which they are attached (other than those retained for files), will be destroyed. |
Procedure for Changes in Rate or Other Variable Terms: | | When a decision has been reached to change the interest rate or any other variable term on any Notes being sold by Québec, Québec will promptly advise the Agents and the Agents will forthwith suspend solicitation of offers to purchase such Notes. The Agents may telephone Québec with recommendations as to the changed interest rates or other variable terms. At such time as Québec advises the Agents of the new interest rates or other variable terms, the Agents may resume solicitation of offers to purchase such Notes. Until such time only "indications of interest" may be recorded. Immediately after acceptance by Québec of an offer to purchase at a new interest rate or new variable term, Québec, the Agents and the Fiscal Agent shall follow the procedures set forth under "Settlement Procedures". The foregoing procedure for changes shall in no way affect Québec's right to suspend all solicitations of offers to purchase Notes as set forth in the Distribution Agreement. |

Suspension of Solicitation: | | Québec may instruct the Agents to suspend solicitation of purchases at any time. Upon receipt of instructions from Québec to suspend solicitation of purchases, the Agents will forthwith suspend solicitation of purchases from Québec until such time as Québec has advised them that such solicitation may be resumed. In the event that at the time the solicitation is suspended (other than to change interest rates or other variable terms) there shall be any orders outstanding which have not been settled, Québec will promptly advise the Agents and the Fiscal Agent whether such orders may be settled and whether copies of the Prospectus as theretofore amended and/or supplemented as in effect at the time of the suspension may be delivered in connection with the settlement of such orders. Québec will have the sole responsibility for such decision and for any arrangements which may be made in the event that Québec determines that such orders may not be settled or that copies of such Prospectus may not be so delivered. |
Amendment or Supplement: | | If any of the events described in Appendix A shall occur, Québec shall inform the Agents as promptly as practicable and consult with the Agents as to the desirability of amending or supplementing the Registration Statement, the Prospectus or the Prospectus Supplement and, in connection therewith, Québec may instruct the Agents to suspend solicitation of purchases. If Québec decides to amend the Registration Statement (including incorporating any documents by reference therein) or supplement any of such documents (other than to change rates or other variable terms), it will promptly advise the Agents and the Fiscal Agent and will furnish the Agents and their counsel with copies of the proposed amendment (including any document proposed to be incorporated by reference therein) or supplement. If there is any substantive change to the Prospectus or Prospectus Supplement, Québec will file the Prospectus or Prospectus Supplement (as the case may be) with the Commission pursuant to Rule 424(b)(3) under the Act) no later than the fifth Business Day following the date it is first used. Issuance: | | All Fixed Rate Notes issued in book-entry form having the same Specified Currency, Issue Date, Interest Rate, Interest Payment Dates and Stated Maturity, and any other terms set forth in the applicable Pricing Supplement (collectively, the "Fixed Rate Terms") will be represented initially by one or more global notes in fully registered form without coupons (each a "Global Note"); and all Floating Rate Notes issued in book-entry form having the same Specified Currency, Issue Date, Interest Rate Basis, Spread or Spread Multiplier, if any, Initial Interest Rate, minimum interest rate, if any, maximum interest rate, if any, Interest Payment Dates, Interest Payment Periods, Interest Reset Dates, Interest Rate Reset Period, Interest Determination Dates, Calculation Dates, Index Maturity, and Stated Maturity and any other terms set forth in the applicable Pricing Supplement (collectively, "Floating Rate Terms") will be represented initially by one or more Global Notes. |

Identification: | | Québec has arranged with the CUSIP Service Bureau of Standard & Poor's Corporation (the "CUSIP Service Bureau") for the reservation of approximately 900 CUSIP numbers which have been reserved for and relating to Global Notes, and Québec has delivered to the Fiscal Agent and DTC such list of such CUSIP numbers. Québec will assign CUSIP numbers to Global Notes as described below under Settlement Procedure B. DTC will notify the CUSIP Service Bureau periodically of the CUSIP numbers that Québec has assigned to Global Notes. The Fiscal Agent will notify Québec at any time when fewer than 100 of the reserved CUSIP numbers remain unassigned to Global Notes, and, if it deems necessary, Québec will reserve additional CUSIP numbers for assignment to Global Notes. Upon obtaining such additional CUSIP numbers, Québec will deliver a list of such additional numbers to the Fiscal Agent and DTC. |

Registration: | | Each Global Note will be registered in the name of Cede & Co., as nominee for DTC, on the Note Register maintained by the Fiscal Agent under the Fiscal Agency Agreement. The beneficial owner of a Book-Entry Note (i.e., an owner of a beneficial interest in a Global Note) (or one or more indirect participants in DTC designated by such owner) will designate one or more participants in DTC (with respect to such Book-Entry Note, the "Participants") to act as agent for such beneficial owner in connection with the book-entry system maintained by DTC, and DTC will record in book-entry form, in accordance with instructions provided by such Participants, a credit balance with respect to such Book-Entry Note in the account of such Participants. The ownership interest of such beneficial owner in such Book-Entry Note will be recorded through the records of such Participants or through the separate records of such Participants and one or more indirect participants in DTC. |
Transfers: | | Transfers of a Book-Entry Note will be accomplished by book entries made by DTC and, in turn, by Participants (and in certain cases, one or more indirect participants in DTC) acting on behalf of beneficial transferors and transferees of such Book-Entry Note. |

Exchanges: | | The Fiscal Agent may deliver to DTC and the CUSIP Service Bureau at any time a written notice specifying (a) the CUSIP numbers of two or more Global Notes outstanding on such date having the same Fixed Rate Terms or Floating Rate Terms, as the case may be (other than Issue Dates), and for which interest has been paid to the same date; (b) a date, occurring at least 30 days after such written notice is delivered and at least 30 days before the next Interest Payment Date for the related Book-Entry Notes, on which such Global Notes shall be exchanged for a single replacement Global Note; and (c) a new CUSIP number, obtained from Québec, to be assigned to such replacement Global Note. Upon receipt of such a notice, DTC will send to its Participants (including the Fiscal Agent) a written reorganization notice to the effect that such exchange will occur on such date. Prior to the specified exchange date, the Fiscal Agent will deliver to the CUSIP Service Bureau written notice setting forth such exchange date and the new CUSIP number and stating that, as of such exchange date, the CUSIP numbers of the Global Notes to be exchanged will no longer be valid. On the specified exchange date, the Fiscal Agent will exchange such Global Notes for a single Global Note bearing the new CUSIP number and the CUSIP numbers of the exchanged Global Notes will, in accordance with CUSIP Service Bureau procedures, be cancelled and not immediately reassigned. Notwithstanding the foregoing, if the Global Notes to be exchanged exceed U.S.$400,000,000 (or the equivalent thereof in other currencies) in aggregate principal amount, one replacement Global Note will be authenticated and issued to represent U.S.$400,000,000 (or the equivalent thereof in other currencies) of principal amount of the exchanged Global Notes and an additional Global Note or Global Notes will be authenticated and issued to represent any remaining principal amount of such Global Notes (See "Denominations" below). |
Denominations: | | Unless otherwise specified in the applicable Pricing Supplement, Book-Entry Notes will be issued in denominations of U.S.$1,000 and any larger denomination which is an integral multiple of U.S.$1,000. The denominations of Book-Entry Notes that are Foreign Currency Notes will be specified in the applicable Pricing Supplement. Global Notes will be denominated in principal amounts not in excess of U.S.$400,000,000 (or the equivalent thereof in other currencies). If one or more Book-Entry Notes having an aggregate principal amount in excess of U.S.$400,000,000 (or the equivalent thereof in other currencies) would, but for the preceding sentence, be represented by a single Global Note, then one Global Note will be issued to represent U.S.$400,000,000 (or the equivalent thereof in other currencies) principal amount of such Book-Entry Note or Notes issued and an additional Global Note or Notes will be issued to represent any remaining principal amount of such Book-Entry Note or Notes. In such a case, each of the Global Notes representing such Book-Entry Note or Notes shall be assigned the same CUSIP number. |

Interest: | | General. DTC will arrange for each pending deposit message described under Settlement Procedure D below to be transmitted to Standard & Poor's, which will use the information in the message to include certain terms of the related Global Note in the appropriate daily bond report published by Standard & Poor's. |

Payments of Principal and Interest: | | Payments of Interest Only. | | Payments on a Maturity Date. On or about the first Business Day of each month, the Fiscal Agent will deliver to Québec and DTC a written list of principal and any premium and interest to be paid on a Maturity Date on each Global Note falling in the following month. The Fiscal Agent, Québec and DTC will confirm the amounts of any such principal, premium and interest with respect to a Global Note not later than the second Business Day preceding such Maturity Date of such Global Note. At such Maturity Date, Québec will pay, or cause to be paid, to the Fiscal Agent, and the Fiscal Agent in turn will pay to DTC, the principal amount of such Global Note becoming due on such Maturity Date, together with any premium and interest due at such Maturity Date, at the times and in the manner set forth below under "Manner of Payment". If such Maturity Date is not a Business Day, the payment due on such day shall be made on the next succeeding Business Day and no interest shall accrue on such payment for the period from and after such Maturity Date to such next succeeding Business Day. Promptly after full payment to DTC of the principal and any premium or interest on such Global Note, the Fiscal Agent will cancel such Global Note and deliver a certificate to Québec as contemplated by Section 8(c) of the Fiscal Agency Agreement. On the first Business Day of each month, the Fiscal Agent will deliver to Québec a written statement indicating the total principal amount of outstanding Global Notes as of the immediately preceding Business Day. |

| | Payment upon Redemption. The Fiscal Agent will comply with the terms of the Letter with regard to redemptions or repayments of the Book-Entry Notes. In the case of Book-Entry Notes stated by their terms to be redeemable prior to their Stated Maturity, at least 60 calendar days before the date fixed for redemption (the "Redemption Date"), Québec shall notify the Fiscal Agent of Québec's election to redeem such Book-Entry Notes in whole or in part and the principal amount of such Book-Entry Notes to be so redeemed. At least 30 calendar days but not more than 60 calendar days prior to the Redemption Date, the Fiscal Agent shall notify DTC of Québec's election to redeem such Book-Entry Notes. The Fiscal Agent shall notify Québec and DTC of the CUSIP numbers of the particular Book-Entry Notes to be redeemed either in whole or in part. Québec, the Fiscal Agent and DTC will confirm the amounts of such principal and any premium and interest payable with respect to each such Book-Entry Note on or about the fifth Business Day preceding the Redemption Date of such Book-Entry Note. Québec will pay, or cause to be paid, to the Fiscal Agent, in accordance with the terms of the Fiscal Agency Agreement, the amount necessary to redeem each such Book-Entry Note or the applicable portion of each such Book-Entry Note. The Fiscal Agent will pay such amount to DTC at the times and in the manner set forth herein. Promptly after payment to DTC of the amount due on the Redemption Date for such Book-Entry Note, the Fiscal Agent shall cancel and, unless otherwise instructed by Québec, destroy any such Book-Entry Note redeemed in whole and shall deliver to Québec a certificate of destruction. If a Global Note is to be redeemed in part, the Fiscal Agent will cancel and, unless otherwise instructed by Québec, destroy such Global Note and issue a Global Note which shall represent the remaining portion of such Global Note and shall bear the CUSIP number of the cancelled Global Note. |

| | Manner of Payment. The total amount of any principal and any premium and interest due on Global Notes denominated in U.S. dollars on any Interest Payment Date or on the Maturity Date shall be paid by Québec to the Fiscal Agent in funds available for use by the Fiscal Agent as of 9:30 a.m., New York City time, on such date. Québec will make such payment on such Global Notes by instructing the Fiscal Agent to withdraw funds from an account maintained by Québec at the Fiscal Agent. Québec will confirm such instructions in writing to the Fiscal Agent. Prior to 10:00 a.m., New York City time, on such date or as soon as possible thereafter, the Fiscal Agent will pay by separate wire transfer (using Fedwire message entry instructions in a form previously specified by DTC) to an account at the Federal Reserve Bank of New York previously specified by DTC, in funds available for immediate use by DTC, each payment of principal and any premium or interest due on a Global Note on such date. Thereafter on such date, DTC will pay, in accordance with its operating procedures then in effect, such amounts in funds available for immediate use to the respective Participants in whose names the beneficial interests in such Notes are recorded in the book-entry system maintained by DTC. Neither Québec nor the Fiscal Agent shall have any responsibility or liability for the payment by DTC of the principal of, and any premium and interest on, the Global Notes to such Participants. |
| | Withholding Taxes. The amount of any taxes required under applicable law to be withheld from any interest payment on a Note will be determined and withheld by the Participant, indirect participant in DTC or other Person responsible for forwarding payments and materials directly to the beneficial owner of such Note. |

Settlement: | | The receipt of immediately available funds by Québec in payment for a Note and the authentication and delivery of such Note shall, with respect to such Note, constitute "Settlement". Failure to Settle: | | If the Fiscal Agent fails to enter a deliver order with respect to a Book-Entry Note pursuant to Settlement Procedure G, the Fiscal Agent may deliver to DTC, through DTC's Participant Terminal System, as soon as practicable a withdrawal message instructing DTC to debit such Note to the participant account of the Fiscal Agent maintained at DTC. DTC will process the withdrawal message, provided that such participant account contains a principal amount of the Global Note representing such Book-Entry Note that is at least equal to the principal amount to be debited. If withdrawal messages are processed with respect to all the Notes represented by a Global Note, the Fiscal Agent will mark such Global Note "cancelled", make appropriate entries in its records and send such cancelled Global Note to Québec. The CUSIP number assigned to such Global Note shall, in accordance with CUSIP Service Bureau procedures, be cancelled and not immediately reassigned. If withdrawal messages are processed with respect to a portion of the Book-Entry Notes represented by a Global Note, the Fiscal Agent will exchange such Global Note for two Global Notes, one of which shall represent the Book-Entry Notes for which withdrawal messages are processed and shall be cancelled immediately after issuance, and the other of which shall represent the other Book-Entry Notes previously represented by the surrendered Global Note and shall bear the CUSIP number of the surrendered Global Note. |

| | If the purchase price for any Book-Entry Note is not timely paid to the Participants with respect to such Note by the beneficial purchaser thereof (or a person, including an indirect participant in DTC, acting on behalf of such purchaser), such Participants and, in turn, the Presenting Agent may enter deliver orders through DTC's Participant Terminal System reversing the orders entered pursuant to Settlement Procedures G and H, respectively. Thereafter, the Fiscal Agent will deliver the withdrawal message and take the related actions described in the preceding paragraph. If such failure shall have occurred for any reason other than default by the Presenting Agent to perform its obligations hereunder or under the Distribution Agreement, Québec will reimburse such Agent on an equitable basis for its loss of the use of funds during the period when the funds were credited to the account of Québec. |

| | Notwithstanding the foregoing, upon any failure to settle with respect to a Global Note, DTC may take any actions in accordance with its operating procedures then in effect.
