Explanation of Responses:

1. The shares were transferred to trusts for the benefit of various family members of the Reporting Person upon expiration of a grantor retained annuity trust. The Reporting Person has no beneficial ownership of the shares held by such trusts.

2. Grantor retained annuity trusts are for the benefit of the Reporting Person and his family.

3. Reflects the addition of 18,404 shares transferred from the Reporting Person's indirect ownership to direct ownership upon expiration of a grantor retained annuity trust.
