Explanation of Responses:

1. Effective November 1, 2015, the Company granted 1,667 restricted stock units as an annual grant to non-employee directors, valued at market price on November 2, 2015 of $72.01 per share. Such shares vest on October 31, 2016 unless, with certain exceptions, the reporting person ceases to be a director prior to the vesting date. The total holdings include 9,184 shares underlying restricted stock units that have vested and share equivalent units that were previously reported in Table II.
