Item 1.01. Entry into a Material Definitive Agreement
Attached as Exhibit 2.1 hereto is a letter agreement, dated as of March 4, 2005, which effects an amendment of the Agreement and Plan of Merger, dated as of February 14, 2005, among Verizon Communications Inc. ("Verizon"), Eli Acquisition, LLC and MCI, Inc. ("MCI"), pursuant to which Verizon has agreed to acquire MCI.
