Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
Effective January 6, 2006 MCI, Inc. (“MCI”) amended the Bylaws of MCI to remove the provision for retention by senior management employees of equity awards for six months following the termination of their employment. A copy of the Bylaws is filed as Exhibit 3.1 and incorporated herein by reference.
