Item 8.01 Other Events
On August 15, 2019, F&M Trust (the “Bank”), a wholly-owned subsidiary of Franklin Financial Services Corporation, issued a press release announcing its intention to sell the Bank’s headquarters located at 20 South Main Street, Chambersburg and relocate to a 67,000 square foot building located at 1500 Nitterhouse Drive, Chambersburg. The relocation into a new facility allows the Bank to consolidate approximately 145 employees into one location, which is next to Interstate 81, a major transportation artery within the Bank’s footprint in Southcentral Pennsylvania, and provides capacity and infrastructure to support the Bank’s growth for many years. Currently, it is expected that the anticipated 1031 exchange transaction will be at a net cost of approximately $3.5 million to the Bank with renovations expected to cost an additional $5.5 million. A copy of the press release announcing the proposed transaction is attached to this Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
