Item 5.02 Departure of Directors or Principal Officers; Election of Directors;
Appointment of Principal Officers.
(b) Resignation of Chief Financial Officer. On December 4, 2006, Sara Cormack, Chief Financial Officer of the Company, resigned as an officer of the Company, effective immediately. Ms. Cormack is expected to continue as an employee of the Company through January 5, 2007, to assist the Company in transitioning to a new Chief Financial Officer. The Company has engaged the services of CMF Associates, of Berwyn, Penna., to provide certain financial and accounting services to the Company and assist the Company in its financial and accounting operations.
Item 8.01. Other Events.
On December 5, 2006, the Company issued a press release announcing the resignation of its Chief Financial Officer. The information furnished pursuant to this paragraph of Item 8.01 of this Form 8-K and in the accompanying Exhibit 99.1 shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, nor shall it be deemed incorporated by reference into any filing under the Securities Act of 1933, except as shall be expressly set forth by specific reference in such filing.
