Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On May 12, 2016, the Compensation Committee of the Board of Directors of Electro Scientific Industries, Inc. (the “Company”) awarded to Edward C. Grady, President and Chief Executive Officer of the Company, 155,000 restricted stock units (the “RSUs”) under the Company’s 2004 Stock Incentive Plan. The RSUs cliff vest on the first anniversary of the date of grant. The vesting period ties to the final year of the three fiscal year turn around period envisioned by the Board of Directors when Mr. Grady was hired as Chief Executive Officer in 2014.
