Item 5. Other Events and Regulation FD Disclosure.
Smurfit-Stone Container Corporation, the sole stockholder of JSCE, Inc. (the "Company"), issued a press release on September 10, 2002 announcing that Jefferson Smurfit Corporation (U.S.), a wholly-owned subsidiary of the Company, had entered into an agreement to sell $700 million of 8.25% Senior Notes due 2012. For information regarding the transaction, reference is made to the press release dated September 10, 2002, which is attached hereto as Exhibit 99.1 and incorporated herein by reference.
