Item 7.01 Regulation FD Disclosure.
On June 16, 2015, the Registrant announced the commencement of a tender offer (the “Tender Offer”) to purchase for cash, subject to certain terms and conditions, any and all of its $400 million outstanding aggregate principal amount of 7.25% Senior Secured Notes due 2016 (the “Existing Notes”) and to redeem any Existing Notes that remain outstanding after completion of the Tender Offer. In conjunction with the Tender Offer, the Registrant also commenced a solicitation of consents (the “Consent Solicitation” and, collectively with the Tender Offer, the “Offer”) to amend the indenture governing the Existing Notes to alter the notice requirements for optional redemption, eliminate substantially all of the restrictive covenants and several events of default and certain other provisions contained in the indenture governing the Existing Notes.
On June 16, 2015, the Registrant also announced its intent to offer $405 million aggregate principal amount of senior secured notes (the “New Notes”) in a private offering exempt from registration in accordance with Rule 144A and Regulation S under the United States Securities Act of 1933, as amended (the “Securities Act”). On June 16, 2015, the Registrant announced that it priced the New Notes at an annual interest rate of 3.45%. The offering is expected to close, subject to certain customary closing conditions, on June 25, 2015.The Registrant intends to use the net proceeds from the New Notes to finance its repurchase of any and all of the Existing Notes, including the payment of consent payments in connection with the Consent Solicitation, and for the redemption of any Existing Notes that remain outstanding after the completion of the Offer and for the payment of related fees and expenses.
