ITEM 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
The Company accepted the resignation of Marshall A. Loeb as Executive Vice President and Chief Financial Officer of the Company effective May 9, 2005. Mr. Loeb served as Chief Financial Officer since November 2000. Mr. Loeb and the Company have no disagreements with respect to any matter, including but not limited to any accounting-related policy or matter. Sarah P. Clark, Senior Vice President of Strategic Planning and Investor Relations, was appointed Interim Chief Financial Officer effective May 9, 2005 until a replacement for Mr. Loeb is appointed. Mrs. Clark previously served as Chief Financial Officer from 1994 through November 2000 and has been with the Company since 1986.
