Item 8.01. Other Events.

Pursuant to the Order Granting Preliminary Approval of Derivative Action Settlement issued by the United States District Court for the Northern District of California, dated May 14, 2019, Wells Fargo & Company is hereby providing, as Exhibit 99 to this report, the Notice of Settlement of Shareholder Derivative Litigation and Hearing (the “Notice”). The Notice relates to the proposed settlement of shareholder derivative litigation alleging various claims, including breach of fiduciary duty claims, against current and former directors and officers for their alleged involvement with and failure to detect and prevent issues related to the Company’s retail sales practices.
