ITEM 1.01.Entry Into A Material Definitive Agreement.
On May 3, 2006, OSI Pharmaceuticals, Inc. (“OSI”) entered into an Employment Agreement (the “Agreement”) with Paul G. Chaney, Executive Vice President and President of (OSI) Eyetech. A copy of the Agreement is attached hereto as Exhibit 10.01 and is incorporated herein by reference.
ITEM 8.01.Other Events.
On May 1, 2006, OSI announced the appointment of Paul G. Chaney as Executive Vice President and President of (OSI) Eyetech, and the resignation of David R. Guyer, M.D. as Executive Vice President and Chief Executive Officer of (OSI) Eyetech. A copy of OSI’s press release, dated May 1, 2006, is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
