Explanation of Responses:

1. On July 24, 2020, in connection with vesting of 12,215 shares of restricted stock held by the reporting person, CalAmp withheld 4,223 shares to pay minimum withholding taxes of $31,820.31.

2. On July 25, 2020, in connection with vesting of 6,200 shares of restricted stock held by the reporting person, CalAmp withheld 2,143 shares to pay minimum withholding taxes of $16,147.51.
