ITEM 5.07 SUBMISSION OF MATTERS TO A VOTE OF SECURITY HOLDERS.
The Registrant convened and held its annual meeting of shareholders on June 10, 2010. The holders of the shares of common stock, voting together, elected seven directors and ratified the selection of Amper, Politziner & Mattia, LLP as the Registrant’s independent registered public accounting firm for fiscal 2010. A brief description and the number of votes on each matter are as follows:
