ITEM 5. OTHER EVENTS AND REGULATION FD DISCLOSURE.
On May 20, 2004, FCCC, Inc. (formerly The First Connecticut Capital Corporation) announced that it has entered into a definitive Standstill and Tender Offer Agreement, dated as of May 19, 2004 (the "Agreement"), with Wayfarer Financial Group, Inc., a South Carolina corporation. Reference is made to the Agreement and the press release issued to the public by the registrant on May 20, 2004, both of which are attached hereto as exhibits, for a description of the events reported pursuant to this Form 8-K.
