On February 19, 2003, NorthWestern Corporation (the "Company") issued a press release outlining elements of a turnaround plan designed to strengthen the Company's balance sheet and financial performance. The Company also announced that it suspended dividends on its common stock and expects to report charges of approximately $700 million in primarily noncash charges in its full-year 2002 results. The press release is included as Exhibit 99.1 hereto and is incorporated herein by reference.
