CCFNB Bancorp, Inc.

The first paragraph of Article 4 of the Corporation’s Amended and Restated Articles of Incorporation shall be amended to read in its entirety as follows:

4. The corporation shall have authority to issue fifteen million (15,000,000) shares of common stock, par value $1.25 per share, and one million (1,000,000) shares of preferred stock, par value $1.25 per share.
