Explanation of Responses:

1. This transaction was executed in multiple trades at prices ranging from $65.00 to $65.54. The price reported represents the weighted average transaction price. The reporting person hereby undertakes to provide upon request to the SEC staff, the issuer, or a security holder of the issuer, full information regarding the number of shares transacted at each separate price.

2. Includes 301,526 shares of restricted common stock which vest on February 15, 2019; 165,049 shares of restricted common stock which vest on February 15, 2020; and 167,093 shares of restricted common stock which vest on February 15, 2021.

3. The reporting person is the sole manager of the LLC which owns the reported securities. As a result, he has elected to report the total number of reported securities held by the LLC. However, the reporting person disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest therein.
