Item 7.01 Regulation FD Disclosure
On June 2, 2021, Southwestern Energy Company, a Delaware corporation (“Southwestern” or “Parent”), issued a press release announcing, among other things, the entry into an Agreement and Plan of Merger (the “Merger Agreement”) by and among, Parent, Ikon Acquisition Company, LLC, a Delaware limited liability company and wholly-owned subsidiary of Parent (“Merger Sub”), Indigo Natural Resources LLC, a Delaware limited liability company (“Indigo” or the “Company”), and Ibis Unitholder Representative, LLC, solely in its capacity as the representative of the Holders (as defined in the Merger Agreement). Upon the terms and subject to the conditions of the Merger Agreement, Merger Sub will merge with and into Indigo, with Indigo continuing as the surviving company (the “Merger”) and a wholly-owned subsidiary of Parent. The press release is attached hereto as Exhibit 99.1 and incorporated into this Item 7.01 by reference herein. Attached as Exhibit 99.2 to this report is an investor presentation regarding the Merger, which is incorporated into this Item 7.01 herein. Attached as Exhibit 99.3 to this report is an email Parent issued to its employees regarding the Merger, which is incorporated into this Item 7.01 herein.
