Explanation of Responses:

1. Consists of an aggregate of 675,000 purchased from Mosalu Family Trust, of which Peter Fazio, an affiliate of the Company, is Trustee and includes 500,000 shares purchased at $.001 per share; 50,000 shares at $0.05 per share and 125,000 shares at $0.04 per share.

2. Mr. Baker disclaims beneficial ownership of 29,456,540 shares owned by Wentworth Dukeshire Trust, pursuant to Rule 13(d)-3 under the Securities Exchange Act of 1934, as amended, as he does not control the power to vote or dispose of these shares controlled by independent trustees.

3. Shares issued in exchange for $18,329 of funds invested for working capital purposes.
