Jeff Lawson, a director of the Company, is also a partner of Burnet, Duckworth & Palmer LLP, the Company’s Canadian legal counsel. As of July 11, 2003, Mr. Lawson beneficially owned 110,200 shares of the Company’s Common Stock and Burnet, Duckworth & Palmer LLP had provided $261,101 worth of legal services to the Company over the prior twelve months. No
other member of Burnet, Duckworth & Palmer LLP had a substantial interest in the Company as of that date.

Every director and officer of the Company is under a duty to exercise their powers and perform their duties honestly and in good faith, with a view to the best interests of the Company, and to exercise the care, diligence and skills that a reasonably prudent person would exercise in comparable circumstances.
As permitted by theCanada Business Corporations Act (the “Act”), and as adopted in the Bylaws of the Company, the Company shall indemnify a director or officer of the Company, a former director or officer of the Company or a person who acts or acted at the Company’s request as a director or officer of a body corporate of which the Company is or was a shareholder or creditor, as well as such director’s or officer’s heirs and legal representatives, against all costs, charges and expenses, including an amount paid to settle an action or satisfy a judgment, reasonably incurred by such director or officer in respect of any civil, criminal or administrative action or proceeding to which the officer or director is made a party by reason of being or having been a director or officer of the Company or body corporate, provided that the director or officer acted honestly and in good faith with a view to the best interests of the Company; and, in the case of a criminal or administrative action or proceeding that is enforced by a monetary penalty, the director or officer had reasonable grounds for believing that the conduct in question was lawful. The Company shall also indemnify such persons in such other circumstances as the Act permits or requires.
