Item 1.01 Entry into a Material Definitive Agreement.
On February 12, 2009, MDRNA, Inc. (the "Company") entered into a Non-Exclusive Patent License Agreement (the "Agreement") with Hoffman-La Roche Inc., a New Jersey corporation, and F. Hoffmann-La Roche Ltd., a Swiss corporation (collectively, "Roche"), pursuant to which the Company granted to Roche a non-exclusive license to a portion of the Company’s technology platform for the development of RNAi-based therapeutics in consideration of the payment by Roche to the Company of a one-time non-refundable execution fee.
On February 13, 2009, the Company issued a press release announcing the execution of the Agreement. A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
The Company intends to submit a FOIA Confidential Treatment Request to the Securities and Exchange Commission pursuant to Rule 24b-2 under the Securities Exchange Act of 1934, as amended, requesting that it be permitted to redact certain portions of the Agreement. The om itted material will be included in the request for confidential treatment.
