Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 11, 2010 Stephen M. Duncan notified the Board of Directors of Oceanic Exploration Company of his intention to resign as President and a director of the Company. The effective date of the resignations has not been determined, but is expected to be approximately May 1, 2010. There were no disputes or disagreements between the Company and Mr. Duncan.
