Explanation of Responses:

1. Options granted on August 14, 2015 vest in three equal annual installments beginning on the first anniversary of the date of grant, but vesting of the options is contingent on the reporting person's continuous employment with the Company from the date of grant through the applicable vesting date. Accelerated vesting in the event of a "Termination without Cause" of the reporting person as set forth in the Company's Management Severance Benefits Plan for U.S. Employees effective June 4, 2014 will not apply to these options.
