ITEM 5.    OTHER EVENTS AND REGULATION FD DISCLOSURE.

Richard E. Wilber, president and chief executive officer, recently announced the consolidated financial results from Citizens Financial Services, Inc. and
Subsidiaries for the fourth quarter of 2002.

On January 23, 2003, Citizens Financial Services, Inc. issued a press release titled "First Citizens Reports Record Year-End Earnings", a copy of which is filed as an exhibit to this Current Report on Form 8-K and is incorporated herein by reference.

On January 7, 2003, Citizens Financial Services, Inc. held a meeting, in which a quorum was present, and approved a Code of Ethics Policy, a copy of which will be incorporated in the Corporation's proxy to shareholders which will be mailed on or about March 12, 2003.
