Item 1.01: Entry Into a Material Definitive Agreement
On December 6, 2007 Penford Corporation (the “Company”) entered into an underwriting agreement with Jefferies & Company, Inc., as representative of the several underwriters, pursuant to which the Company agreed to issue and sell 2,000,000 shares of the Company’s common stock, par value $1.00 per share, plus up to an additional 300,000 shares of common stock pursuant to the underwriters’ option, at a price to the public of $25.00 per share. The offering of the 2,000,000 shares of the Company’s common stock is expected to close on December 12, 2007, subject to customary conditions. Net proceeds from the offering, after deducting underwriting discounts and estimated offering expenses, are expected to be $46.8 million, or $53.8 million if the underwriters’ overallotment option is exercised in full.
