Item 1.01. | Entry into a Material Definitive Agreement |
On December 29, 2005, the Compensation Committee of the Board of Directors of MEDTOX Scientific, Inc. (the “Company”) approved a $4,000 increase in the compensation of the chairperson of the Board Audit Committee in 2006, comprised of $2,000 in cash and a $2,000 award under the Company’s Long Term Incentive Plan. As a result of this increase, the Audit Committee chairperson’s total compensation for 2006 will be $44,000, $22,000 payable in cash and $22,000 as an award under the Long Term Incentive Plan.
