Item 8.01 Other Events.
On June 11, 2019, Ventas, Inc. (the “Company”) issued and sold an additional 1,650,000 shares of its common stock, par value $0.25 per share (“Common Stock”), pursuant to the exercise in full of the option to purchase additional shares of Common Stock granted to the underwriters in connection with the Company’s previously announced public offering of 11,000,000 shares of Common Stock, which closed on June 6, 2019. The exercise of the option brings the aggregate number of shares of Common Stock sold by the Company in the public offering to 12,650,000. The Company expects to receive aggregate net proceeds from the offering of approximately $767.5 million after deducting its estimated expenses.
