Item 1.01 Entry into a Material Definitive Agreement.
On June 14, 2006, the Company awarded to each of its outside directors a cash award equal to the value of 500 shares of the Company’s common stock on the date of the award. The closing bid for the Company’s common stock on June 14, 2006 was $12.85, and each director’s award therefore had a value of $6,425 on such date.
