On July 14, 2005, the Board of Directors of Bucyrus International, Inc. (the “Company”) appointed Robert C. Scharp as a director of the Company to fill a vacancy on the Company’s Board of Directors caused by the Board’s decision to increase the size of the Board from seven to nine members. Mr. Scharp will serve a term expiring at the 2007 annual meeting of the Company’s shareholders. The Company has not yet determined on which, if any, committees of the Board Mr. Scharp will serve. A copy of the press release announcing the appointment of Mr. Scharp is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
