Item 5.03 Amendment to Articles of Incorporation or Bylaws; Change in Fiscal Year
On May 24, 2006, Sierra Pacific Resources filed a Certificate of Amendment with the Nevada Secretary of State to amend Section 1 of Article V of its Restated Articles of Incorporation to increase the number of authorized shares of common stock from 250,000,000 to 350,000,000 in accordance with the vote of the Sierra Pacific Resources’ stockholders adopted at the Annual Meeting of Stockholders held on May 1, 2006.
The Certificate of Amendment is filed herewith as Exhibit 3.1 and is incorporated by reference herein.
