UDR Announces Pricing of Common Stock Offering
DENVER, CO(October 1, 2008) UDR, Inc. (NYSE: UDR) today announced the pricing of a public offering of 8,000,000 shares of its common stock at a price of $24.25 per share, for net proceeds of approximately $184.9 million after underwriting discounts and commissions and estimated offering expenses (or approximately $212.7 million if the underwriters’ overallotment option is exercised in full). UDR has granted the underwriters an option to purchase up to an additional 1,200,000 shares of common stock to cover overallotments, if any. The offering is expected to close on October 7, 2008, subject to customary closing conditions. All of the shares of common stock will be offered by the Company and will be issued under a currently effective shelf registration statement filed with the Securities and Exchange Commission.
The Company expects to use the net proceeds from the offering for the repayment of $116.1 million outstanding under its revolving credit facility, with the remainder to be used for working capital and other general corporate purposes.
Merrill Lynch & Co., Citi and Morgan Stanley will serve as joint book running managers, and J.P. Morgan Securities Inc., BMO Capital Markets and Morgan Keegan & Company, Inc. will serve as co-managers, for the offering.
