Item 5.02 Departure of Directors or Principal Officers; Appointment of Principal Officers.
On June 27, 2006 the Company issued a press release titled “AMERICAN ECOLOGY ANNOUNCES APPOINTMENT OF NEW CHIEF ACCOUNTING OFFICER” disclosing that Michael J. Gilberg has resigned his position as the Company’s Chief Accounting Officer effective July 28, 2006 and the appointment of Jeffrey R. Feeler as the Company’s Chief Accounting Officer effective July 28, 2006.

Item 8.01 Other Events.
On June 27, 2006 the Company issued a press release subtitled “Company also announces plans to purchase additional gondola railcars” disclosing that the Company intended to purchase approximately 80 additional railcars for approximately $6 million with cash on hand.
