Explanatory Note
On April 23, 2021, Olin Corporation (Olin) filed a Form 8-K (Original Form 8-K), which disclosed that on April 22, 2021, Olin’s shareholders approved the Olin Corporation 2021 Long Term Incentive Plan (2021 LTIP) at Olin’s annual meeting of shareholders. This Form 8-K/A amends the Original Form 8-K to file a correct copy of the 2021 LTIP as an exhibit. The correct version of the 2021 LTIP was also filed as Appendix A to Olin’s Proxy Statement dated March 12, 2021.
