1. Restricted Stock Units convert into common stock on a one-for-one basis.

2. On February 1, 2022, the Reporting Person was granted 3,805 restricted stock units, which vest as follows: (1) 1,268 on the first anniversary of the grant, (2) 1,268 on the second anniversary of the grant and (3) 1,269 on the third anniversary of the grant (contingent upon the Reporting Person's employment with the Issuer on the scheduled vesting date, except as provided for under the Issuer's 2016 Long-Term Incentive Plan).
