As previously disclosed, the European Commission (the “EC”) has granted conditional clearance of the proposed sale by Armstrong World Industries, Inc. (“AWI,” or the “Company”) of certain subsidiaries comprising the Company’s businesses and operations in Europe, the Middle East and Africa (including Russia) and the Pacific Rim, including the corresponding businesses and operations conducted by Worthington Armstrong Venture, a Delaware general partnership, in which AWI holds a fifty-percent (50%) interest (collectively, the “Sale”), to Knauf International GmbH, a company incorporated in the Federal Republic of Germany (“Knauf”). Following its Phase I investigation, the EC concluded that the Sale, as modified by certain commitments offered by Knauf and intended to address concerns regarding the overlap between the activities of the Company and Knauf, does not raise any competition concerns.
The EC has granted atwo-month extension of the period for the satisfaction of these commitments and the Company now expects closing of the Sale to occur in the third quarter of 2019.
