Item 8.01. Other Events
On December 16, 2020, Armstrong World Industries, Inc. (“AWI,” the “Company,” “we,” “our,” or “us”) issued a press release announcing the completion of the previously announced acquisition of Arktura LLC, a California limited liability company (“Arktura”) and its subsidiaries comprising Arktura’s business and operations in the United States and Argentina. Arktura is an award-winning designer and fabricator of ceilings, walls, partitions and facades based in Los Angeles, California.
AWI acquired Arktura for approximately $91 million in cash, plus an additional $24 million of deferred cash payments to be made over a period of five years and an additional $6 million of common stock of AWI to be issued over a period of five years, in each case subject to the applicable Seller’s continued employment with AWI. A copy of the press release is attached hereto as Exhibit 99.1 and is hereby incorporated by reference herein.
