Item 8.01 Other Events.
AiAdvertising, Inc. (the “Company”) has received termination and non-renewal notices from two of its three largest customers. These customers account for approximately 40% of the Company’s annual revenues. As a result of these termination notices, the Company expects that its results of operations going forward will be impacted and there can be no assurance that it will be able to continue its day-to-day operations as currently being conducted. The Company has also terminated approximately 42 % of its workforce.
