        In connection with the Quarterly Report of Sealy Corporation (the "Corporation") on Form 10-Q for the period ending August 30, 2009 as filed with the Securities and Exchange Commission on the date hereof (the "Report"), Lawrence J. Rogers, President and Chief Executive Officer of the Corporation, and Jeffrey C.
