        In connection with the Quarterly Report of Sealy Corporation (the "Corporation") on Form 10-Q for the quarterly period ending August 28, 2011 as filed with the Securities and Exchange Commission on the date hereof (the "Report"), Lawrence J. Rogers, President and Chief Executive Officer of the Corporation, and Jeffrey C.
