Explanatory Note

This amendment to the Annual Report on Form 10-K for the year ended December 31, 2005 (2005 Annual Report on Form 10-K/A) is being filed for the purpose of amending Item 15 of Part IV of the Annual Report on Form 10-K for the year ended December 31, 2005 of NTN Buzztime, Inc. (NTN), which was originally filed on March 27, 2006 (2005 Annual Report on Form 10-K). Several exhibits listed in the 2005 Annual Report on Form 10-K were not filed with the 2005 Annual Report on Form 10-K. Those exhibits are filed with this 2005 Annual Report on Form 10-K/A. All other Items of the 2005 Annual Report on Form 10-K are unaffected by the changes described above and have been omitted from this amendment. Information in this 2005 Annual Report on Form 10-K/A is stated as of December 31, 2005 and does not reflect any subsequent information or events.
