On December 27, 2011, Winland Electronics, Inc. ("Winland") and Nortech Systems Incorporated ("Nortech") entered into a Manufacturing Agreement (the "Agreement"). The Agreement continues in effect until December 31, 2013 (the "Term") providing Nortech exclusivity to manufacture Winland's requirements relating to the Products set forth on Exhibit A to the Agreement.
The Manufacturing Agreement is attached hereto as Exhibit 10.1 and is incorporated into this Item 1.01.
