Represents a grant of restricted stock awards under the issuer's 2022 Equity and Incentive Plan that are scheduled to vest over the requisite service periods, subject to continued employment through the vesting dates. Each Restricted stock award represents the right to receive one share of common stock at vesting.

2. Represents a grant of restricted stock units under the issuer's 2022 Equity and Incentive Plan that are scheduled to vest pro-rata over the next three years, subject to continued employment through the vesting dates. Each Restricted stock unit represents the right to receive one share of common stock at vesting.
