Explanation of Responses:

1. Represents a prorated vesting of 28,350 shares under the grant of 37,800 time-based restricted stock units under the Non-Employee Director Incentive Compensation Plan that was made to Mr. Wallach on May 28, 2020 (the "Grant") the vesting date of the Grant, in the prorated amount, was accelerated to the effective date of his resignation from OSG's Board of Directors, December 10, 2020.
