Section 7 – Regulation FD
Item 7.01 Regulation FD Disclosure.
On September 20, 2013, Overseas Shipholding Group, Inc. (“OSG” or the “Company”) hereby discloses summary projections for its International and US Flag tanker and barge businesses to facilitate discussions among constituents in the Chapter 11 reorganization (the “Presentation”). By providing guidance with respect to management’s current view of the business outlook, the Company believes it will more rapidly be able to coalesce constituents around a viable restructuring plan for the Company. The Presentation is attached hereto as Exhibit 99.1. This current report (including the exhibit hereto or any information included therein) shall not be deemed an admission as to the materiality of any information required to be disclosed solely by reason of Regulation FD. The Company undertakes no obligation to publish any further forward-looking financial information.
